Senior Compliance ( Legal ) Counsel

Our Pharmaceutical Diagnostics (PDx) business is the number one global supplier of contrast media and a strong player in molecular imaging agents used to enhance medical imaging exams. We are now hiring for a Legal Counsel EMEA PDx who will provide legal advice on all aspects of the PDx business, including, structuring and negotiating a variety of strategic commercial contracts with PDx’s key customers and suppliers throughout EMEA.

These transactions and contracts typically include a wide range of products offerings related to the full lifecycle of our pharma products. Acting as a business partner, the Legal Counsel is expected to provide advice to the business leaders on opportunities and direction, as well as to advise team members on day-to-day legal issues.

The position will report directly to the Head of Legal EMEA. Though this role will focus primarily on matters related to EMEA, he or she will need to be flexible and ready to work on global matters or matters relating to other PDx regions, including subsequent support of larger Business Development projects.

Working with the Business’ commercial team for EMEA as a business partner to help identify opportunities to drive business forward and support growth opportunities and initiatives.

Ensuring contractual rigor when drafting and reviewing a range of agreements, for example Sales & Supply agreements, Sourcing agreements, Contract Manufacturing Agreements, Clinical Development and Clinical research agreements, Co-development and licensing agreements, service contracts in accordance with the business’ policies and procedures.

Supporting Business Development and licensing projects (due diligence, review and negotiation), initially in close collaboration with the Head of Legal EMEA with the prospect to autonomous and strategic support of such projects in the future. Reviewing advertising and promotional material.

Applying combined business and legal judgment to proposed deals, relationships and other issues requiring legal or compliance attention.

Managing outside counsel; In conjunction with global legal colleagues, supporting the management of disputes and litigation.

Supporting the development and maintenance of a strong culture of compliance including supporting Compliance projects, trainings and support to the compliance specialists on forums such as the Compliance Review Board.

Conducting impactful trainings in relation to legal, contractual, regulatory and Healthcare compliance matters.

Helping to manage relationships with government authorities as and when needed e.g. in relation to corporate and business licenses, Healthcare authorities, ministries of health, in close partnership with our government affairs team.

Providing specialist advice on matters of local law across the Region (in alignment with local colleagues where available), on public procurement laws, competition laws and integrity laws (anti-bribery and anti-corruption), anti-money laundering and anti-terrorist financing laws and international trade compliance matters in close partnership with our global specialists.

Supporting Scientific Review Meetings as primary go-to-person for Legal EMEA PDx.

Ensuring project governance by use of appropriate mediums and mechanisms such as meetings, work streams and teams calls to regularly govern the project by surfacing issues, making decisions and agreeing escalations to ensure that activities remain on track and targets are consistently met.

Supporting the Business on all aspects of distributor/wholesaler relationships with distributors/wholesalers across the Region, including the (yearly or bi-yearly) renewal of distribution/wholesaler agreements, the delivery of training to the management and employees of the Business’ distributors/wholesalers incl. Qualified lawyer (with JD, or equivalent) with active practicing certificate or bar admission, preferably in the UK, France, Germany, the Netherlands or Norway (dual civil law and common law qualifications a plus).

Up to 6 years of professional experience, ideally a mix of law firm and inhouse experience working on a variety of Pharma business legal matters.

Excellent verbal and written communication in English. Other EMEA language a Plus.

Robust and demonstrated experience providing legal advice, negotiating contracts and closing business transactions in a highly regulated environment.

EU competition law understanding and international commercial law.

Experience related to Business Development/Licensing projects and litigation matters is advantageous.

Previous experience in identifying and resolving legal issues quickly and effectively and ability to make on-the-spot risk calls.

Adaptable/Flexible: Understanding areas of law, regulations, risks, marketplace dynamics, industry trends, and the compliance landscape.

Experience of working in Lean culture or involvement in process improvement projects is beneficial.

Contribuer au développement et au maintien d’une forte culture de conformité, y compris la participation à des projets, formations et forums tels que le Comité de Révision de la Conformité.

Fournir des conseils spécialisés sur les lois locales dans la région (en coordination avec les collègues locaux), notamment sur les lois relatives aux marchés publics, à la concurrence, à l’intégrité (anti-corruption), au blanchiment d’argent, au financement du terrorisme et à la conformité commerciale internationale, en partenariat avec nos spécialistes mondiaux.

Accompagner l’entreprise sur tous les aspects des relations avec les distributeurs/grossistes dans la région, y compris le renouvellement des contrats (annuel ou biannuel), la formation des équipes des distributeurs/grossistes et la gestion des changements de stratégie commerciale.

Juriste qualifié(e) (JD ou équivalent) avec certificat d’exercice ou admission au barreau, de préférence au Royaume-Uni, en France, en Allemagne, aux Pays-Bas ou en Norvège (double qualification droit civil et common law appréciée).

Connaissance du droit de la concurrence de l’UE et du droit commercial international.

Expérience en projets de développement commercial/licences et en contentieux appréciée.

Orientation externe : compréhension des lois, réglementations, risques, dynamiques du marché, tendances sectorielles et paysage de conformité.
